1. Introduction
These Terms of Sale ("Terms") govern all sales of gemstones and related products by GWO SARL, trading as Gems with Origin ("GWO", "we", "us", or "our"), to buyers ("Buyer", "you", or "your"). By placing an order with GWO, you acknowledge that you have read, understood, and agree to be bound by these Terms.
GWO is a business-to-business (B2B) wholesaler of responsibly sourced gemstones. Our primary customers are jewelers, jewelry manufacturers, and members of the professional jewelry trade. We reserve the right to verify your trade credentials before processing orders.
2. Definitions
"Gemstones" or "Products" means all sapphires, precious stones, and related items offered for sale by GWO.
"Order" means any purchase request submitted by the Buyer and accepted by GWO.
"Order Confirmation" means written confirmation from GWO accepting the Buyer's order.
"Business Day" means any day other than a Saturday, Sunday, or public holiday in Bahrain.
"Unheated" means gemstones that have not undergone any form of heat treatment to alter their color, clarity, or appearance.
3. Product Information and Accuracy
3.1 Product Descriptions
We make every effort to ensure that product descriptions, photographs, videos, and specifications on our website and in our communications are accurate. However, natural gemstones are unique, and variations in color, clarity, and appearance are inherent characteristics. Photographs and videos are representative and may not capture the exact appearance of each stone due to differences in screen calibration, lighting conditions, and photography equipment.
3.2 Gemstone Grading
All grading provided by GWO is based on our professional assessment and industry standards. Unless otherwise stated, gemstones sold by GWO are natural, unheated sapphires sourced from Madagascar. GWO does not guarantee that independent gemological laboratories will assign identical grades to those provided by us, as gemstone grading involves subjective assessment.
3.3 Certifications
Gemological certifications from independent laboratories (such as GIA, Gübelin, SSEF, or others) are available upon request and at additional cost. The Buyer is responsible for the cost of any requested certifications. GWO cannot guarantee specific results from independent laboratory assessments.
4. Orders and Acceptance
4.1 Order Placement
Orders may be placed through our website, via email, or through direct communication with our sales team. All orders are subject to acceptance by GWO. We reserve the right to refuse or cancel any order at our sole discretion.
4.2 Order Confirmation
An order is not binding until GWO issues an Order Confirmation. The Order Confirmation will include a detailed description of the gemstone(s), pricing, and payment instructions. Any contract for sale is formed only upon issuance of the Order Confirmation.
4.3 Reservation Period
Upon Order Confirmation, the gemstone(s) will be reserved for the Buyer for a period of seven (7) Business Days, during which full payment must be received. If payment is not received within this period, GWO reserves the right to cancel the order and release the gemstone(s) for sale to other buyers without notice.
5. Pricing and Payment
5.1 Pricing
All prices are quoted in United States Dollars (USD) unless otherwise specified. Prices are exclusive of shipping, insurance, customs duties, taxes, and any applicable certification fees, which shall be borne by the Buyer. GWO reserves the right to modify prices at any time prior to Order Confirmation.
5.2 Payment Methods
We accept payment via bank wire transfer, credit card (subject to processing fees), and other methods as agreed upon. Full payment must be received and cleared before shipment of any order. For bank wire transfers, the Buyer is responsible for all bank fees and charges.
5.3 Alternative Payment Arrangements
GWO may, at its sole discretion, offer alternative payment arrangements to established customers with a proven payment history. Such arrangements must be agreed upon in writing prior to order placement and do not set precedent for future transactions.
6. Shipping and Delivery
6.1 Shipping Methods
GWO ships internationally through select courier partners, including but not limited to DHL and Malca Amit. The appropriate shipping method will be determined based on the destination, value of the shipment, and any specific requirements of the Buyer.
6.2 Shipping Costs
Shipping costs are calculated based on the destination, shipping method, declared value, and insurance requirements. A shipping quote will be provided prior to dispatch. The Buyer is responsible for all shipping costs unless otherwise agreed in writing.
6.3 Insurance
All shipments are fully insured for their declared value. Insurance costs are included in the shipping fee. In the event of loss or damage during transit, GWO will work with the Buyer and the insurance provider to resolve any claims.
6.4 Risk of Loss
Risk of loss or damage to the gemstone(s) passes to the Buyer upon delivery to the shipping carrier. Title to the gemstone(s) transfers to the Buyer only upon receipt of full payment by GWO.
6.5 Customs and Import Duties
The Buyer is solely responsible for all customs duties, import taxes, VAT, and any other fees imposed by the destination country. GWO is not responsible for delays caused by customs clearance procedures. It is the Buyer's responsibility to be aware of and comply with all import regulations in their jurisdiction.
6.6 Delivery Times
Estimated delivery times are provided in good faith but are not guaranteed. GWO shall not be liable for any delays in delivery caused by circumstances beyond our reasonable control, including but not limited to customs delays, carrier delays, weather events, or force majeure.
7. Returns and Refunds
7.1 Return Policy
If you are not fully satisfied with your purchase, you may return the gemstone(s) within fourteen (14) calendar days of receipt. To initiate a return, you must contact GWO in writing to obtain a Return Authorization. Returns without prior authorization will not be accepted.
7.2 Return Conditions
Gemstones must be returned in their original, unaltered condition. Any gemstone that has been set, mounted, altered, damaged, or tampered with in any way is not eligible for return. GWO reserves the right to refuse any return that does not meet these conditions.
7.3 Return Shipping
The Buyer is responsible for all return shipping costs, including insurance. Returns must be shipped using a secure, insured shipping method approved by GWO. Risk of loss during return transit remains with the Buyer until the gemstone(s) are received by GWO.
7.4 Refund Processing
Upon receipt and inspection of the returned gemstone(s), and provided all return conditions are met, GWO will issue a full refund of the purchase price. Refunds will be processed within ten (10) Business Days of receipt using the original payment method. Shipping costs are non-refundable.
7.5 Exchanges
Exchanges are handled as a return followed by a new purchase. The Buyer must follow the return procedure and place a new order for the desired gemstone(s).
8. Warranties and Disclaimers
8.1 Authenticity Guarantee
GWO guarantees that all gemstones sold are natural and accurately described. Unless otherwise disclosed, all sapphires are unheated and sourced from Madagascar's Ilakaka region.
8.2 Limited Warranty
GWO warrants that the gemstones sold will conform to the specifications provided in the Order Confirmation at the time of delivery. This warranty does not cover damage caused by improper handling, setting, or wear after delivery.
8.3 Disclaimer of Implied Warranties
EXCEPT AS EXPRESSLY PROVIDED HEREIN, GWO DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GEMSTONES ARE SOLD "AS IS" WITH ALL NATURAL CHARACTERISTICS AND INCLUSIONS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GWO'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PURCHASE OF GEMSTONES SHALL NOT EXCEED THE PURCHASE PRICE PAID BY THE BUYER FOR THE SPECIFIC GEMSTONE(S) GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL GWO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF USE, EVEN IF GWO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Intellectual Property
All content on the GWO website, including but not limited to photographs, videos, text, graphics, logos, and product descriptions, is the property of GWO and is protected by copyright and other intellectual property laws. Buyers may not reproduce, distribute, or use any content without prior written consent from GWO.
11. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of business, including but not limited to pricing, supplier information, customer lists, and business strategies. This obligation survives the termination of any business relationship.
12. Dispute Resolution
12.1 Good Faith Negotiation
In the event of any dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute through good faith negotiation.
12.2 Arbitration
If a dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration. Arbitration shall be conducted in accordance with the rules of the International Chamber of Commerce (ICC) in Bahrain, and the decision of the arbitrator(s) shall be final and binding.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Bahrain, without regard to its conflict of law principles. Any legal action arising out of these Terms shall be brought exclusively in the courts of Bahrain.
14. Force Majeure
GWO shall not be liable for any failure or delay in performing its obligations where such failure or delay results from any cause beyond GWO's reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, government actions, pandemics, strikes, transportation disruptions, or failures of third-party services.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
16. Entire Agreement
These Terms, together with any Order Confirmation and any other documents expressly incorporated by reference, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, both written and oral.
17. Amendments
GWO reserves the right to modify these Terms at any time. Updated Terms will be posted on our website and will apply to all orders placed after the effective date of the modification. It is the Buyer's responsibility to review these Terms periodically.
